Novo Nordisk Shareholders Approve Major Board Overhaul

Novo Nordisk has entered a decisive new chapter after shareholders approved a sweeping board restructuring, marking one of the most dramatic governance shakeups in the company’s recent history. The vote took place during an Extraordinary General Meeting on November 14, where investors overwhelmingly supported replacing the company’s independent board members.

More than 93 percent of votes cast were in favour of the changes. With the Novo Nordisk Foundation controlling over 75 percent of total votes, the board overhaul was effectively assured despite growing frustration from minority shareholders.


Minority Shareholders Signal Unease

One of the most notable reactions came from Norges Bank Investment Management (NBIM), one of Novo Nordisk’s largest minority investors. Earlier in the week, NBIM said it would abstain from voting, a clear indication of discomfort with how the restructuring was being handled.

Their abstention underscored a broader concern among institutional investors who worry that increasing control by the foundation may weaken corporate independence at a time when the company faces mounting industry pressures.
